I have over thirty-five years of senior executive level experience in small to mid-size companies both public and private. My experience is primarily in the restaurant industry, where he has led and developed accounting and finance departments from start up through maturity. Most notably I served as Executive Vice President and CFO, of Max & Erma's Restaurants, Inc. a publicly owned operator and franchiser of 110 casual dining restaurants located primarily in the mid-west. Prior to the Company's sale in 2008 system wide sales reached $250.0 million on average unit sales of $2.4 million. I also served as Chief Financial Officer of Villa Enterprises, a 380 unit, quick service restaurant operator and franchiser located in Morristown, NJ and consulted to several Columbus, Ohio based restaurant companies, generally focusing on financial restructuring. I have significant financial transaction experience including the raising of public and private equity and debt capital, multiple real estate sale leaseback transactions and the sale of three companies. Most recently I was Chief Financial Officer & Chief Administrative Officer for Salon Lofts Group, LLC, a developer and operator of 55 suite rental hair salons. I led Max & Erma's during a 15-fold growth from $12.0 million in 1986, after management acquired the Company to over $180.0 million in 2008. I was responsible for pricing and marketing strategy that resulted in positive same store sales 16 out of 20 years from 1987 to 2007, menu development that consistently achieved cost of sales below industry benchmarks. I designed and implemented benefit plans, deferred compensation programs and stock option plans, all of which contributed to a below industry average turnover. I led integration of Max & Erma's and Damon's accounting departments upon parent company's acquisition of the Damon's restaurant chain resulting in an overall reduction of 25% of the combined accounting staff. I led Max & Erma's through its initial public stock offering, growing to a $180 million public company.The Company completed several secondary offerings of equity and debt, both public and private. I was responsible for all real estate transactions involving Company-owned real estate, including sale-leaseback of 45 ground-up locations totaling over $100.0 million. As a consultant, I obtained a letter of intent for the sale of one client's $40.0 million restaurant business to a publicly owned company. The sale of the business was completed on December 30, 2011. I negotiated a $15.0 million credit line for Villa Enterprises, the company's first bank financing. At Salon Lofts I led the real estate team in locating and negotiating approximately 25 leases in fourteen months. The performance of opened stores relative to plan exceeded prior new locations by 20 percentage points. I hold a Bachelors of Science Mechanical Engineering and a Masters of Business Administration, both from Ohio University. I am a Certified Public Accountant.
